- 1). Obtain a copy of the articles of organization for the LLC. Georgia entrepreneurs form a Georgia LLC by filing articles of organization with the Georgia Secretary of State. The articles can contain various types of rules for the LLC, including member removal. According to Georgia LLC law on the cessation of LLC membership, you may remove a member of an LLC if the method used is in accordance with the articles of organization.
- 2). Get a copy of the written operating agreement. The LLC members may write up an operating agreement to provide additional rules for the management of the company. According to Georgia law, the operating agreement may also contain rules for member removal.
- 3). Follow the removal provisions of the articles of organization or operating agreement if removal rules exist in these documents. You will need to amend the articles or operating agreement if no provisions exist to remove a member. Unless the articles or operating agreement state otherwise, Georgia law requires unanimous consent of all members to amend the articles or operating agreement.
